OmniGlobe Networks Completes Acquisition of RAMTelecom

OmniGlobe strengthens its North American business, extending its connectivity capabilities to the oil and gas, mining, forestry and government markets

OmniGlobe Networks Inc., the global telecommunications company specialising in the delivery of broadband internet, cellular and satellite communications products and services, today announces the conclusion of its acquisition of Ottawa-based R. A. Misener Telecom Corporation (known as RAMTelecom). The acquisition, which was announced in December 2008, has been approved by the board of directors of each company.
RAMTelecom is a leading Canadian satellite service provider that offers services for broadband data and voice business communications to medium and large enterprises in the oil and gas, mining and forestry sectors as well as government agencies. Its fixed and mobile satellite-based services provide complete coverage of North America, giving organisations the ability to deliver continuous real-time communications between central and remote offices, regardless of location.
This strategic acquisition marks a new milestone for OmniGlobe Networks, which was recently identified as "Canada's #1 Growth Technology Company" by the BRANHAM group. It also signals the company’s determination to strengthen its position in the remote and rural communications sector and to further extend its reach into new and growing commercial markets.

RAMTelecom will be fully integrated into OmniGlobe. Its satellite activities will be combined with OmniGlobe’s satellite-WiMAX and broadband business to become the new broadband communications division. This division will be based in and operated from Ottawa, with teleport facilities in Ottawa, Montreal and a future site in Western Canada.
The mobile satellite phone activities will be combined with OmniGlobe’s satellite-cellular activities to become the new cellular communications division based in and operated from Montreal, with teleport, CDMA and inter-carrier facilities in Montreal, with again a future site in Western Canada. As part of the acquisition, Mr Gilles R Desmarais, president and CEO of RAMTelecom, will be appointed as OmniGlobe’s North American VP of sales and marketing, spanning both divisions. Mr Ralph Misener will become a permanent adviser to OmniGlobe.

OmniGlobe Networks Inc. has acquired for cash the entire operating assets of R. A. Misener Telecom, the wholly owned subsidiary of TSX-Venture quoted Ramtelecom Inc (RTC). OmniGlobe Networks has acquired all rights to both the R. A. Misener Telecom name and that of parent Ramtelecom Inc which, with effect from the date of this acquisition, will change its name to Avalite Inc.
